1. Acceptance of These Terms

By creating an account, accessing, or using GRIDAP (“App,” “Service,” “we,” “our,” or “us”), you (“User” or “you”) agree to be bound by these Terms & Conditions (“Terms”). If you do not accept every provision, do not use the Service.

2. Eligibility

You represent that you:

• are at least 18 years old (or the age of majority in your jurisdiction);
• have not been barred from using the Service under applicable law; and
• are not located in a country or on a sanctions list where use of the Service is prohibited.

3. Informational-Only; No Investment Advice

GRIDAP provides educational content, algorithmic analytics, and AI-generated commentary for informational and learning purposes only. We are not a registered investment adviser, broker-dealer, financial planner, tax professional, or law firm. Nothing on the Service constitutes:

• personalized financial, investment, legal, or tax advice;
• an offer, solicitation, or recommendation to buy or sell securities or other assets; or
• a guarantee of any outcome.

You alone assume all responsibility for evaluating the merits and risks of any trade or investment. Always consult a qualified professional before making financial decisions.

4. Market & Technology Risks

Markets can be volatile; you may lose the entire value of your investments. AI outputs are probabilistic, may contain errors, and may become outdated. Data feeds, APIs, indicators, and back-tests may fail or deliver inaccurate results. You accept all risks associated with relying on the Service.

5. No Fiduciary Duty

Your use of the Service does not create any fiduciary relationship. We do not act as your agent or assume any fiduciary obligations to you.

6. User Account & Conduct

Provide accurate, current information and keep credentials confidential.

• You are solely responsible for all activity under your account.
• Prohibited activities include: violating laws or regulations (e.g., insider-trading rules), scraping or reselling data, reverse-engineering the software, interfering with servers, or using the Service to develop a competing product.

7. Intellectual Property

The App, algorithms, text, graphics, logos, and trademarks belong to us or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Service for personal, non-commercial use strictly in accordance with these Terms.

8. Third-Party Content & Links

We may display market data, news, charts, or links to third-party sites. We do not endorse or guarantee such content and are not responsible for its accuracy, completeness, or availability.

9. Fees & Payment (if applicable)

Subscription plans, billing cycles, renewal terms, and refund policies are described on the pricing page and incorporated herein. Taxes and currency conversion fees are your responsibility.

10. Modifications and Service Availability

We may modify, suspend, or discontinue any part of the Service at any time without liability. Updated Terms become effective when posted. Continued use after the “Last updated” date constitutes acceptance of the revised Terms.

11. Indemnification

You agree to defend, indemnify, and hold harmless Angular Analytic LLC and its officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys’ fees) arising out of or related to: (a) your breach of these Terms, (b) your use or misuse of the Service, or (c) any violation of law or third-party rights.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM MALICIOUS CODE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR (a) INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES; OR (b) DAMAGES EXCEEDING THE GREATER OF USD 100 OR THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; in such cases, our liability shall be limited to the minimum extent permitted by law.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. Any dispute arising under or relating to these Terms shall be resolved exclusively by binding arbitration in Fulton County, Georgia, administered by the American Arbitration Association under its Commercial Rules. You waive the right to a jury trial and to participate in class actions, except where such waiver is unenforceable.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force, and a valid provision reflecting the original intent shall be substituted.

16. Entire Agreement

These Terms, together with the Privacy Policy and any additional written agreements or disclosures posted on the Service, constitute the entire agreement between you and us regarding the Service and supersede all prior understandings.
